What’s an ESOP?

The Modular Power Solutions Employee Stock Ownership Plan (ESOP) is a company-provided profit-sharing retirement plan. The plan outlines how stock is distributed in our company, including allocations to participants. Individual accounts are maintained on behalf of each participant, and company contributions are allocated based upon annual compensation.

What ESOP Means To You

I was already proud to be part of MPS and brought into the vision four years ago. But seeing the reality of the results in just a few years was still mind-boggling and emotional. The next morning, I found myself thinking "How can I do more?".

I didn't realize how lucky I was to stumble into an ESOP company - especially one that is growing at this rate. Our team gathers for the annual share price reveal (it's a big party!) and you see long-time employees talking about 5 and 6 figure leaps in their ESOP balances in a single year. Admins have retired from this company as millionaires. It is incredible.

Marketing Manager

ESOP means this is my company. I am not working for 'The Man.' We are 'The Man.' It has made me much more aware of the value of each individual here. It also means knowing that my grandchildren will be able to go to college wherever they want.

Senior Project Manager

There’s the ESOP, which functions as a retirement plan. Those are the benefits given to you on your behalf by the company that you pay nothing for. The other part I always talk about is the culture piece. You can’t have an ESOP without the other side of a good culture and knowing what it means to embody employee ownership. The two go hand-in-hand.

FAQs

Every eligible employee-owner receives an annual allocation of company shares as part of their compensation package. Nothing is deducted from a paycheck. The company funds the plan entirely on the employee’s behalf.

Each year, the share price is calculated based on an independent valuation of the company. As the company grows and performs well, the share price increases, and so does the value of every employee-owner’s shares. When someone retires or leaves the company, their accumulated, vested shares are converted to cash at the current share price.

Employee-owned companies are structurally different from publicly traded ones. When outside shareholders are in the picture, profits flow out to investors. At MPS and Rosendin, those profits stay inside the company and are given back to the people doing the work. That alignment has real benefits beyond the obvious generous financial benefit.

Research on employee-owned companies consistently shows greater stability during economic downturns, a stronger tendency to keep jobs local, and deeper investment in the communities they serve.

Employee-owners pay nothing to receive these incredible financial benefits.  Our ESOP is 100% company-paid.

Shares of company stock are credited to your account based on a formula related to your annual pay.  Every ESOP participant receives the same “piece of the pie” (percentage of annual salary).  For example, if a Company Executive accrues 20% of her salary in stock in a given year, you will also accrue 20% of your salary in stock.  The percentage awarded varies by year, depending on the financial performance of the company, but the annual percentage is applied equitably to all employees.

No, as an employee, you’ll receive access to BOTH benefit programs.  The ESOP is completely separate from the 401k benefit.
